END–USER LICENCE AGREEMENT (EULA)

PLEASE READ CAREFULLY BEFORE USING THIS PRODUCT!

A. GENERAL

1. This End-User License Agreement (EULA) is a legal agreement between you (either an individual or a single entity) and the Corinth s.r.o., a company organized and existing under the laws of Czech Republic and maintaining its principal place of business at Prague, Makovského 1394/8a, 163 00, Czech Republic (“Corinth”), of this Software for the software product identified above, which includes computer software and may include associated 3D models, graphics, videos, photos, audio or other artworks, and online or electronic documentation (“Product”).

2. If you are under 18 years of age, please ask your parent or guardian to review and approve this EULA on your behalf. If you are under the aforesaid age, you must not use or access the Product without a parent or legal guardian supervising you.

3. By installing, copying, or otherwise using the Product, you agree to be bounded by the terms of this EULA. If you do not agree to the terms of this EULA, do not install or use the Product.

4. The Corinth grants you a non-exclusive, limited, personal, revocable, worldwide right and license to install and use the executable version of the Product.

B. USING OF PRODUCT

This EULA grants you the following rights:

1. USE

You may use the Product on your computer, tablet, phone or any other similar device. You may not use the Product on additional computers or any other similar device and do not have the right to distribute the Product. You agree to only use the Software Product as expressly permitted herein.

2. RESERVATION OF RIGHTS

The Product is licensed, not sold, to you by Corinth. Corinth and its suppliers own all intellectual property rights, title, trademarks and interest in and to the Product and reserve all rights not expressly granted to you in this EULA.

3. LIMITED RIGHT TO USE

You may not modify the Product or disable any licensing or control features of the Product. You agree that you may not copy the written materials accompanying the Product. You may copy the Product for archival purposes so long as the copy is unmodified from the original distribution and the copy retains all of the original Product´s proprietary notices. You may not rent or lease your rights to the Product or documentation.

4. LIMITATION ON REVERSE ENGINEERING

Except to the extent that such restriction is not permitted under applicable law, you are not permitted (and you agree not to) reverse engineer, decompile, disassemble or create derivative works of or modify the Product.

5. TRADEMARK

You may not remove or alter Corinth´s trademarks or logos or legal notices included in the Product or related assets. You may not remove or alter trademarks of Corinth´s partners either.

C. COPYRIGHT

All title and copyrights in and to the Product (including but not limited to any images, graphics, videos, photographs, audios and other artworks incorporated into the Product), the accompanying printed materials, and any copies of the Product are owned by the Corinth. The Product is protected by copyright laws and international treaty provisions. Therefore, you must treat the Product like any other copyrighted material.

D. OTHERS

1. GOVERNING LAW AND JURISDICTIONS

This EULA and any dispute, claim or obligation (whether contractual or non-contractual) arising out of or in connection with it or its subject matter or formation shall be governed by the laws of Czech Republic and you grant exclusive jurisdiction in this matter to Czech Courts.

2. CHANGES TO AGREEMENT

From time to time, we may need to amend this EULA for serious reasons, for example to reflect new features and functionality in the Product or because of changes in the law. If Corinth makes such changes to this agreement in the future, you will have 30 days to reject such change and send a written notice at address provided above.

3. SEVERABILITY AND SURVIVAL

If any part of this license is illegal or unenforceable then the other portions of this license will still be applicable (and may be amended to achieve the intended effect of the part that proves to be unenforceable).

4. TERMINATION

Without prejudice to any other rights, the Corinth may terminate this EULA if you fail to comply with the terms and conditions of this EULA. In such event, you must destroy all copies of the Product and all of its component parts.

Unauthorized copying or using of the Product or failure to comply with the restrictions in this EULA (or other breach of the license herein) will result in automatic termination of this Agreement and you agree that it will constitute immediate, irreparable harm to Corinth for which monetary damages would be an inadequate remedy, and that injunctive relief will be an appropriate remedy for such breach.

E. LIMITED WARRANTY

1. NO WARRANTIES

Corinth expressly disclaims any warranty for the Product. The Product and any related documentation is provided “as is” without warranty of any kind, either express or implied, including, without limitation, the implied warranties or merchantability, fitness for a particular purpose, or non-infringement. The entire risk arising out of use or performance of the Product remains with you.

2. NO LIABILITY FOR DAMAGES

In no event shall Corinth be liable for any special, consequential, incidental or indirect damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or any other pecuniary loss) arising out of the use of or inability to use this Product, even if the Corinth is aware of the possibility of such damages and known defects.
